- Measurements Provided by Customer

1. Scope of Responsibility

All orders for roofing materials are prepared strictly in accordance with the measurements, specifications, and quantities provided by the customer. Cpon does not provide measurement services unless expressly agreed to in a separate written contract.

2. Assumption of Risk

By supplying measurements, the customer assumes full and exclusive responsibility for their accuracy. Cpon shall not be responsible for, and expressly disclaims any liability arising from, incorrect, incomplete, or inaccurate measurements, including but not limited to:

Material shortages or overages

Improper fit or installation issues

Additional costs for corrections, replacements, or rework

Project delays caused by measurement errors

3. Final Orders & No Returns

Once an order is confirmed and processing begins—including cutting, fabrication, or scheduling for delivery—it is deemed final. No returns, refunds, or exchanges will be accepted for measurement-related errors.

4. Customer Verification Requirement

Prior to order placement, the customer must review and confirm all measurements, specifications, and quantities. If the customer is not confident in their measurements, it is their responsibility to engage a qualified contractor, roofer, or surveyor to obtain accurate dimensions.

5. Indemnification Clause

The customer agrees to defend, indemnify, and hold harmless [Your Company Name], its directors, employees, agents, and subcontractors from and against any and all claims, demands, damages, losses, costs, and expenses (including legal fees) arising directly or indirectly from measurement information supplied by the customer.

6. Acknowledgment of Terms

By placing an order, the customer confirms they have read, understood, and agreed to these Terms & Conditions, and waives any claim against Cpon for issues resulting from customer-provided measurements.

Terms and Conditions

These Terms & Conditions (“Terms”) govern all sales of goods and related services by Cpon (“Supplier”) to the customer (“Customer”). By placing an order, the Customer agrees to be bound by these Terms.

1. Orders & Acceptance

1.1 All orders must be confirmed in writing (including email or signed quotation).

1.2 Orders are accepted subject to material availability. Supplier reserves the right to refuse or cancel orders at its sole discretion.

1.3 Once an order is processed, any changes or cancellations require Supplier’s written consent and may be subject to additional charges.

2. Customer-Provided Measurements

2.1 Where Customer provides measurements, Supplier relies entirely on that information and does not independently verify dimensions unless agreed in writing.

2.2 Supplier shall have no liability for shortages, excess materials, or installation issues arising from inaccurate, incomplete, or incorrect measurements provided by the Customer.

2.3 Orders produced based on Customer’s measurements are final and non-refundable.

3. Pricing & Payment

3.1 All prices are in Canadian Dollars unless otherwise stated and are subject to applicable taxes.

3.2 Quotes are valid for 15 days from the date of issue unless otherwise specified.

3.3 Full payment is required prior to fabrication or delivery unless otherwise agreed in writing.

3.4 Late payments may be subject to interest charges of 2% per month.

4. Delivery & Risk

4.1 Delivery dates are estimates only. Supplier is not liable for delays caused by factors beyond its reasonable control, including supplier shortages, transport issues, or weather conditions.

4.2 Risk of loss or damage to goods passes to the Customer upon delivery or collection.

4.3 The Customer is responsible for unloading materials safely at the delivery site unless unloading services have been arranged with Supplier in advance.

5. Material Specifications & Color Matching

5.1 Due to variations in manufacturing processes, minor differences in color, finish, or dimensions may occur. Such variations are not considered defects.

5.2 Supplier makes no guarantee of exact color match between batches. Customers are advised to order sufficient material in a single batch to ensure consistency.

6. Returns & Refunds

6.1 Custom-cut metal roofing materials are non-returnable and non-refundable.

6.2 Non-custom, stock items may be returned within 7 days of purchase with original receipt and in resaleable condition.

6.3 The Customer is responsible for all return shipping or transport costs.

7. Warranty

7.1 Supplier passes through any manufacturer warranties applicable to the materials sold.

7.2 Warranty claims must be made in writing and accompanied by proof of purchase.

7.3 Supplier’s liability under warranty is limited to repair, replacement, or refund of the defective goods, at Supplier’s discretion.

8. Limitation of Liability

8.1 Supplier is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, labor costs, or installation delays.

8.2 Supplier’s maximum liability for any claim shall not exceed the purchase price of the goods in question.

9. Indemnification

Customer agrees to indemnify and hold harmless Supplier, its employees, and agents against any claims, damages, or expenses arising from:

• Use or installation of the goods,

• Customer’s failure to follow installation guidelines,

• Customer-provided measurements or specifications.

10. Force Majeure

Supplier is not liable for failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, supply chain disruptions, or labor disputes.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario Canada. Any disputes shall be resolved in the courts of Ontario.

12. Entire Agreement

These Terms, together with the order confirmation, constitute the entire agreement between Supplier and Customer and supersede any prior communications or agreement.
